Platform terms

These platform terms describe the intended commercial framework for ITWarp, operated by ITWARP LLC, a Delaware limited liability company. Each engagement also requires an agreement accepted by its parties.
1. Accounts and authority
Users must be at least 18 and provide accurate information. Company users must have authority to act for their organization. Owners are responsible for invitations and permissions. Keep credentials private and report unauthorized access through support.
2. Talent and opportunities
Professionals control their profile visibility and decide which opportunities to pursue. Companies are responsible for the accuracy of role requirements. Profile discovery does not establish interest in a specific role. Qualifications and availability must be verified before an engagement.
3. Agreements and classification
Scope, billing unit, rate, hours, start date, notice, intellectual property, confidentiality, and applicable law must be set out in the engagement agreement. A contractor label does not determine legal classification. Activation requires the applicable checks and signed documents. Employment arrangements require an appropriate EOR or employer agreement.
4. Platform fee
The initial default platform fee is 5% of the agreed talent amount and is charged to the company in addition to that amount. The applicable percentage is disclosed in each offer and retained in the engagement. Configuration changes apply to new offers; changes to existing agreements require mutual agreement. Taxes and provider costs, when applicable, must be disclosed separately before acceptance.
5. Work approval and billing
Professionals submit accurate work records. Paid time off is claimable only when both parties expressly agree to its annual hours and effective date. Hourly PTO is billed at the agreed rate plus platform fee; monthly and fractional PTO is included in the retainer without an extra charge. The designated approver may approve or dispute submitted work with a reason. Approved work is locked and generates a billing record. Corrections require a documented resolution or adjustment. The company must review within 24 elapsed hours of submission; overdue reviews receive daily reminders and are escalated to ITWarp. Approval remains explicit. Invoices are due one calendar month after issue, using the final day of the next month when the same date does not exist.
6. Payments and payouts
Payment methods, settlement timing, refund conditions, taxes, currency conversion, and any provider charges are governed by the accepted agreement and applicable provider terms. Talent payouts require confirmed funds and completed controls. A status shown in the platform is not a bank guarantee. ITWarp does not offer credit or advances under these terms.
7. AI assistance
AI outputs are drafts and recommendations. They may be incomplete or incorrect and require review. Agents cannot independently hire, reject candidates, sign agreements, or move money. Do not submit sensitive personal or financial information in AI briefs. Matching must rely on relevant professional evidence.
8. Acceptable use and disputes
Do not misrepresent qualifications, upload unlawful material, discriminate, bypass access controls, or use unauthorized sourcing. Raise work and billing disputes through the related record or support. ITWarp may restrict access for documented misuse while preserving necessary records and applicable rights.
9. Contact and applicable agreements
Contact ITWARP LLC through the platform contact form. Final jurisdiction, liability allocation, warranty limitations, dispute resolution, and termination provisions must be established in the approved commercial documents for the relevant service. These draft platform terms do not replace those documents.
10. Automatic onboarding and designated approvals
Company accounts are activated after corporate email confirmation and automated checks of the company domain and HTTPS website. Professional accounts require email confirmation and a completed, consented profile; no ITWarp admission review is required. These checks do not certify legal entity status, identity, skills or language fluency. Company owners assign permissions and separate claim and invoice approvers. Every designated approver must explicitly approve the current summary. External reviewers receive a personal expiring link, which must not be forwarded. Invoice approval records acceptance of that summary and does not confirm payment or authorize a transfer.
